These terms govern your use of the Vantage Helm website and the engagement of our consulting services. Please read them carefully before proceeding.

For the purposes of these Terms and Conditions:

  • "Service" refers to the consulting programmes and advisory engagements offered by Vantage Helm, including Business Continuity Planning, Change Management Advisory, and Executive Coaching.
  • "User" or "Client" refers to any individual or organisation accessing this website or engaging our services.
  • "We", "Us", "Our" refers to Vantage Helm, a business consulting firm based in Kuala Lumpur, Malaysia.
  • "Content" refers to all text, documents, frameworks, templates, and materials produced as part of a consulting engagement.
  • "Agreement" refers to these Terms and Conditions, together with any service agreement or engagement letter entered into between Vantage Helm and the Client.

2. Acceptance of Terms

By accessing this website or engaging Vantage Helm's consulting services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please refrain from using this site or engaging our services.

These terms apply to all users of the website and to all clients who enter into a service engagement with Vantage Helm.

Our services are intended for business professionals and organisations. By engaging our services, you confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement.

3. Service Description

Vantage Helm provides structured consulting engagements to Malaysian businesses and organisations. Our current service offerings include:

  • Business Continuity Planning — a structured engagement covering risk identification, impact analysis, and development of continuity documentation. Typical duration: 4–6 weeks.
  • Change Management Advisory — advisory support for organisations navigating significant internal transitions, including stakeholder analysis and communication planning. Typical duration: 6–12 weeks.
  • Executive Coaching Programme — a structured one-on-one coaching programme for business leaders, consisting of 12 sessions over 6 months.

Service availability, scope, and pricing are subject to change. The specific scope of any engagement will be confirmed in a written engagement letter or proposal prior to commencement.

4. User Responsibilities

When using this website or engaging our services, you agree to:

  • Provide accurate and complete information in all communications and submissions
  • Use the website only for lawful purposes and in a manner consistent with these terms
  • Not attempt to disrupt, damage, or gain unauthorised access to any systems or data
  • Maintain confidentiality of any proprietary materials or methodologies shared during an engagement
  • Comply with all applicable laws and regulations in your jurisdiction

The following activities are expressly prohibited: scraping website content for commercial use, impersonating Vantage Helm or its representatives, submitting false or misleading enquiries, and reproducing proprietary engagement materials without written consent.

5. Intellectual Property

All content on this website — including text, design elements, frameworks, and methodologies — is the intellectual property of Vantage Helm unless otherwise stated.

Deliverables produced as part of a consulting engagement (such as continuity plans, communication templates, or coaching frameworks) are provided to the client for internal use under a limited, non-exclusive licence. These materials may not be sublicensed, resold, or distributed to third parties without prior written consent from Vantage Helm.

Any feedback, suggestions, or inputs provided by a client during an engagement do not constitute a claim of ownership over any part of Vantage Helm's methodologies or deliverable templates.

6. Payment Terms

All fees are quoted and invoiced in Malaysian Ringgit (MYR). Current indicative pricing for our services is as follows:

  • Business Continuity Planning — MYR 5,800 per engagement
  • Change Management Advisory — MYR 6,400 per engagement
  • Executive Coaching Programme — MYR 9,200 for the full 12-session programme

Payment terms will be specified in the engagement letter. Typically, a deposit is required prior to commencement, with the balance due upon completion or at agreed milestones.

Refunds for partially completed engagements are assessed on a case-by-case basis and will take into account work completed to date. Requests should be submitted in writing to [email protected].

7. Service-Specific Terms

Business Continuity Planning

  • Scope and deliverables will be confirmed in the engagement letter
  • Client is responsible for providing accurate operational and organisational information
  • Tabletop exercise scheduling is subject to the availability of the client's leadership team
  • Final deliverables are provided in editable format for the client's ongoing maintenance

Change Management Advisory

  • Advisory duration depends on the complexity and scope of the change initiative
  • Communication templates provided are intended for adaptation to the client's specific context
  • Ongoing advisory beyond the agreed scope requires a separate arrangement

Executive Coaching Programme

  • All sessions and 360-degree feedback information are held in strict confidence
  • Sessions not attended with reasonable notice (minimum 48 hours) may be forfeited
  • The programme is designed for individual development and is not transferable to another participant
  • The development plan produced at programme conclusion remains the property of the participant

8. Disclaimers

Our website and consulting services are provided on an "as is" basis. Whilst we take care in the quality of our work, we make no representations about the specific outcomes any individual organisation will achieve following an engagement.

Business results depend on many factors outside our control, including organisational culture, market conditions, and implementation decisions made by the client. Our role is to provide structured frameworks, expert guidance, and professional support — the application of recommendations remains the responsibility of the client.

Nothing in these terms constitutes legal, financial, or regulatory advice. Clients are encouraged to seek appropriate specialist advice where needed.

9. Limitation of Liability

To the extent permitted by Malaysian law, Vantage Helm's total liability to any client for any claim arising from a consulting engagement shall not exceed the total fees paid by the client for that specific engagement.

We shall not be liable for indirect, consequential, or incidental losses — including loss of profit, loss of business opportunity, or reputational damage — arising from reliance on our services or deliverables.

Nothing in these terms excludes or limits liability for fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot be excluded under Malaysian law.

10. Termination

Either party may terminate a consulting engagement by providing written notice. The required notice period and any applicable fees for work completed to date will be set out in the engagement letter.

Vantage Helm reserves the right to decline or terminate an engagement where it is determined that continued engagement would conflict with our professional standards or obligations.

Upon termination, confidentiality obligations and intellectual property terms survive and continue to apply.

11. Dispute Resolution

These Terms and Conditions are governed by and interpreted in accordance with the laws of Malaysia. Any disputes arising shall be subject to the jurisdiction of the courts of Malaysia.

In the event of a dispute, both parties agree to first attempt resolution through good-faith discussion. If informal resolution is not reached within 30 days, the matter may be referred to mediation before any formal legal proceedings are commenced.

For disputes of a commercial nature, parties may also consider referral to the Asian International Arbitration Centre (AIAC) in accordance with its rules.

12. General Provisions

  • Entire Agreement: These terms, together with any engagement letter, constitute the entire agreement between the parties for the relevant service.
  • Severability: If any provision is found to be unenforceable, the remaining provisions continue in full force.
  • Waiver: Failure to enforce any provision does not constitute a waiver of the right to enforce it at a later stage.
  • Assignment: Clients may not assign or transfer their obligations under a service agreement without prior written consent from Vantage Helm.
  • Notices: Formal notices should be sent in writing to the address below or via email to [email protected].

13. Changes to Terms

We reserve the right to update these Terms and Conditions at any time. Changes will be reflected on this page with a revised "Last Updated" date. Material changes will be communicated to active clients where practicable.

Continued use of this website or continued engagement with our services following any updates constitutes acceptance of the revised terms.
